If you go to the Adobe store and click through as if you’re going to order a copy of Photoshop CS, you see the following statement regarding the Photoshop CS upgrade path:

To install upgrade successfully, you will need a licensed version of Photoshop 7.0 or earlier on the same platform as this purchase.

I am a registered license-holder of an older version of Photoshop (4.0) for Windows. Based on this information, I purchased the upgrade version of Photoshop CS for Windows. When I try to install it, I’m told that I qualify only if I have a copy of Photoshop version 5.0 or later.

The Adobe store information can be found at: <http://www.adobe.com/store/products/master.jhtml ;jsessionid=UOON0OXGSZ02VQFI0IKBCY4AVDJBKIV2?id=catPhotoshop >

What gives?

you need to call adobe for an access key if you have an older version than 5.5. what that all means (at the store) is that you don’t have to call if you have a newer version. either way you’re still eligible for the upgrade so call them up and they’ll tell you how to get cs installed.
