Why Does Convert to Profile Merge All Layers

Doesn’t make any sense to me… I can convert to RGB or LAB and then back to CMYK and I’m given the option to merge or not, but if I use Convert to Profile (in this case to force an image that exceeds our 300% ink limit to be < 300) it merges all the layers into one.
