I’m using CS2 on a PC and cannot unlock a gif background layer. I tried converting it to a PSD file, still no luck.
This is a client’s logo that I have to incorporate into an ad I’m creating. Can anyone help?

I haven’t heard one sensible answer here.. If it’s a GIF file, you want to edit it either in Imageready, or some other GIF file editor. And pick the layer you want to edit once you can see all the layers/frames.

If the image isn’t moving, transparency serves no purpose. It could just be a simple cutout in front of the background.

As for unlocking the layer, as you said image->mode->rgb, and smack the word background with the mouse or [better yet copy it to a new layer ] and change it to layer 0. Assuming single frame GIF file.

You are confusing two different, unrelated things. A frame and a layer are not the same thing.
You can’t work in layers in a GIF in any program–Photoshop or ImageReady. In ImageReady, you can add frames to a GIF, but you cannot add layers.
