Works fine in Photoshop CS here. Click with the brush tool, then hold down SHIFT, then click again.
Please describe what happens when you do this. Since you didn’t tell us what it is doing, we have difficulty helping you.

in both cases hit tool, hit shift key, hit tool a second time at another point.. as you can see brush and pencil behave very differently… thank you..

I tried to duplicate your example with my CS2 XP-SP1 machine, but could not. I tried all Brush Dynamics settings and also a dozen, or so totally different brushes. I can try on my CS2 W2K-SP4 machine, but I do not think I have CS still on it. If I do, I will have a go, and let you know.
In the meantime, let’s look for anything else that could be your problem. OK, you click with the Brush, hold down Shift (which one, left, or right? I know that sounds silly, but some programs do not like the right Shift key for some reason.), then, while holding Shift, click in hopes of drawing a straight line. Good so far? What are all of the settings for the Brush that you are using? Is there anything there that strikes you as a possibility? I did my test with Airbrush on/off, Opacity, Flow, and all Dynamics checked, and unchecked. Do you have any keyboard mapping installed for some other program? Does your keyboard require separate drivers for W2K? These are just thoughts on what might be causing your problem.
Tomorrow, I will try my W2K machine and either CS, or CS2 depending on whether CS is still on it. I will try and duplicate your example, but so far, I can only do it if the Shift key is released, prior to the second click – or if it is disabled someplace along the way. That said, it should also be disabled with the Pencil Tool :-{
I’ll let you know what my big machine does, though it may well be a case of, "hey, works fine for me… "
