I am replying here to your e-mail, rather than respond directly, as any confusion that you may have may also be experienced by others, and sharing information here is the best way (hopefully) to reduce that confusion.

Firstly, I have not yet purchased and installed PS CS2, therefore I have no direct experience yet with its activation process. Now, your e-mailed question is this:

The reason for this as some users say no you can not activate the new photoshop CS 2 On A second PC, They say yes you can install on 2 computers but can not activate on 2 computers at the same time, they say you have to de-activate first ... I'm bit confuesed as some users say yes you can have it activated on 2 computers at the same time and some users say no you can not ...the user below says no

I have no "source" per se, other than having read the End User License Agreement (EULA) provided in the PS CS2 trial. Although a trial version, this same version can be installed as a full version by the entry of a serial number, so the EULA is the same for both types of installation. The EULA states the following with regard to two installations of PS CS2:

2.4 Portable or Home Computer Use. The primary user of the Computer on which the Software is installed may install a second copy of the Software for his or her exclusive use on either a portable Computer or a Computer located at his or her home, provided the Software on the portable or home Computer is not used at the same time as the Software on the primary Computer.

Now, as I reread it, certainly the EULA doesn't state whether or not the Transfer Activation process must be used when moving between two PCs where PS CS2 is installed, but it would be foolish for Adobe to require that, particularly in view of the requirement for an internet connection for the Transfer Activation process (a problem in and of itself). The activation/reactivation process in PS CS2 may be much more robust than in CS1, but I don't think anyone is ready yet to say it isn't going to have problems where erroneous reactivations are prompted. As such, any event which aggravates the risk of that occurring and placing a greater workload upon Adobe to resolve will likely be avoided, hence I'd expect Adobe would fully permit 2 installations of PS CS2 that do not require any transfer of activation at all.

It's easy to become confused in threads like this, where sometimes a reply can be separated from the original question to which it was directed as the result of other intervening posts, some asking further questions. So, if anyone knows otherwise, please directly reference this post if the following is not correct regarding PS CS2:

1. The installation of PS CS2 is permitted to two separate PCS and this means that the activation server supports the registration of two activations per single-user license.

2. Moving from a PS CS2 installation on one PC to another, where both have been installed for the same single-user license, does NOT require a transfer of activation to be performed.

3. If, for any reason, the 2nd installation of PS CS2 does not allow an activation to be performed, then a failure has occurred with the License Manager of PS CS2, and Adobe should be contacted to resolve the problem.
