I have Photoshop CS in an un-opened original box which I received as a gift. How can I exchange/upgrade it to an CS2?

You can’t, but you can use it for an upgrade to CS2. If the CS package was purchased after March 4 (I think thats the date), call Adobe with proof of purchase and you will get a free upgrade to CS2.
